SECTION 5. DONATIONS

 

5.1   Nature of Contributions. All monetary contributions made through this Website are voluntary political contributions to the Agboola for Governor Campaign Committee, a political committee organized under applicable federal and state campaign finance laws. Contributions are not purchases of goods or services.

5.2   Legal Compliance. All donations received through this Website are subject to the contribution limits, disclosure requirements, and source prohibitions established by the Independent National Electoral Commission ("INEC") and applicable Texas state campaign finance laws. The Campaign is committed to full compliance with all such requirements.

5.3   Donor Eligibility. By making a contribution, you represent, warrant, and certify under penalty of law that:

●      You are a Nigerian citizen or a lawfully admitted permanent resident alien;

●      You are at least eighteen (18) years of age;

●      The contribution is made from your own personal funds and not from funds provided to you by another person or entity for the purpose of making this contribution;

●      You are not a foreign national prohibited by law from making a contribution in connection with a Nigeria election;

●      You are not making a contribution on behalf of, or as a conduit for, any corporation, labor organization, national bank, federal government contractor, or any other prohibited source; and

●      This contribution does not exceed any applicable federal or state contribution limit.

5.4   Contribution Limits. Federal and state law impose limits on the amount that individuals may contribute to a campaign committee. These limits are subject to periodic adjustment. You are solely responsible for ensuring that your contribution complies with all applicable contribution limits. The Campaign encourages donors to consult INEC guidelines or an attorney regarding current contribution limits before donating.

5.5   Not Tax-Deductible. Contributions to the Agboola for Governor Campaign Committee are political contributions and are expressly not deductible as charitable contributions for federal or state income tax purposes. No goods or services were or will be provided in exchange for your contribution.

5.6   Finality of Contributions. All contributions made through this Website are final and non-refundable, except as may be required by applicable law. The Campaign reserves the right, in its sole discretion, to refund in whole or in part any contribution that does not satisfy legal eligibility requirements or that would cause the Campaign to exceed applicable legal limits.

5.7   Payment Security. All donation transactions processed through this Website are secured using industry-standard encryption and security protocols. SECTION 6. VOLUNTEERING

 

6.1   Voluntary and Unpaid Service. Volunteering for the Agboola for Governor Campaign is entirely voluntary and unpaid. Volunteers are not employees, agents, or independent contractors of the Campaign and are not entitled to compensation of any kind for their volunteer services.

6.2   Eligibility to Volunteer. All volunteers must be legally eligible to provide volunteer services for a Nigeria political campaign under applicable federal and state law. By registering as a volunteer, you represent and warrant that you meet all applicable eligibility requirements.

6.3   INEC Compliance. Volunteer personal services — including time and effort voluntarily provided without compensation — are generally permissible under INEC regulations and do not constitute a reportable in-kind contribution. However, volunteers may not use corporate resources, materials, or equipment for Campaign activities without prior written approval from the Campaign. Volunteers are responsible for ensuring their activities comply with applicable INEC rules.

6.4   Campaign Discretion. The Campaign reserves the right to accept or decline any volunteer application or to remove any volunteer from service, at its sole discretion and without obligation to provide a reason.

6.5   Professional Conduct. Volunteers agree to represent the Agboola for Governor Campaign in a professional, respectful, and lawful manner at all times, and to comply with all Campaign guidelines, directives, and codes of conduct provided to them.

6.6   Use of Volunteer Information. Personal information collected from volunteers through this Website will be used solely for campaign coordination, communication, and scheduling purposes, and will be handled in accordance with the Campaign's Privacy Policy.

6.7   Assumption of Risk. Volunteers acknowledge and agree that they participate in all campaign activities at their own risk. To the extent any liability is found notwithstanding the foregoing disclaimer, the Campaign's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of this Website shall not exceed the total amount, if any, donated or paid by you to the Campaign in the twelve (12) months immediately preceding the event giving rise to the claim.

8.3   Jurisdictional Variations. Some jurisdictions do not allow the exclusion or limitation of certain types of damages or liability. In such jurisdictions, the Campaign's liability shall be limited to the greatest extent permitted by applicable law. You agree to defend, indemnify, and hold harmless the Agboola for Governor Campaign Committee, its candidate, officers, directors, employees, staff, agents, consultants, volunteers, and authorized representatives (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

SECTION 10. GOVERNING LAW AND DISPUTE RESOLUTION

 

10.1   Governing Law. These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or your use of this Website, shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles or provisions, and applicable federal law of the United States of America.

10.2   Mandatory Binding Arbitration. Except as provided in Section 10.4 below, any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or any Campaign activity — including questions about the existence, scope, validity, or enforceability of these Terms — shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its then-current Commercial Arbitration Rules. The arbitration shall be conducted in Fort Bend County, Texas, or as otherwise agreed by the parties. The arbitrator's decision shall be final, binding, and enforceable in any court of competent jurisdiction.

10.3   Waiver of Class Actions. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR CONSOLIDATED OR REPRESENTATIVE ACTION AGAINST THE CAMPAIGN OR ANY INDEMNIFIED PARTY. ALL DISPUTES MUST BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

10.4   Injunctive Relief. Notwithstanding the foregoing arbitration requirement, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in Texas to prevent irreparable harm pending resolution of the underlying dispute by arbitration.

10.5   Venue and Jurisdiction. To the extent any dispute is not subject to arbitration or is otherwise brought before a court of law, you irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Oyo State, and waive any objection to such jurisdiction or venue.

SECTION 11. AMENDMENTS

 

11.1   Right to Modify. The Campaign reserves the right, in its sole discretion, to modify, amend, update, supplement, or replace any portion of these Terms at any time. The Campaign is under no obligation to provide advance notice of changes except as set forth herein.

11.2   Effective Date of Changes. Unless otherwise stated, all modifications to these Terms are effective immediately upon posting the revised Terms to this Website. The "Effective Date" displayed at the top of this document will be updated to reflect the date of the most recent revision.

11.3   User Responsibility to Review. You are encouraged and responsible for periodically reviewing these Terms to remain informed of any updates. Your continued use of the Website following the posting of any changes constitutes your acceptance of the revised Terms.
